Palm Beach, FL, May 23, 2025 (GLOBE NEWSWIRE) — Triller Group Inc. (\u201cTriller\u201d, \u201cTriller Group\u201d or \u201cthe Company\u201d) <\/strong>today announced that on May 20, 2025, it received a delinquency notification letter from the Listing Qualifications Staff of the Nasdaq Stock Market LLC (\u201cNasdaq\u201d) due to the Company\u2019s non-compliance with Nasdaq Listing Rule 5250(c)(1) (the \u201cListing Rule\u201d) as a result of the Company\u2019s failure to timely file its Quarterly Report on Form 10-Q for the period ended March 31, 2025 (the \u201cFiling\u201d). The Listing Rule requires listed companies to timely file all required periodic financial reports with the Securities and Exchange Commission (the \u201cSEC\u201d).<\/p>\n

This Notice has no immediate effect on the listing of the Company\u2019s securities on Nasdaq. However, if the Company fails to timely regain compliance with the Rule, the Company\u2019s securities will be subject to delisting from Nasdaq.<\/p>\n

The Notice provides that the Company shall submit to Nasdaq a plan to regain compliance with the Nasdaq Listing Rule no later than June 16, 2025. If Nasdaq accepts the Company\u2019s plan, then Nasdaq may grant the Company up to 180 calendar days from the Filing\u2019s due date, or until October 13, 2025, to regain compliance. If Nasdaq does not accept the Company\u2019s plan, then the Company will have the opportunity to appeal that decision to a Nasdaq Hearings Panel.<\/p>\n

The Company is working diligently to complete its Form 10-Q and 10-K and expects to file its Form 10-Q and 10-K as soon as practicable.<\/p>\n
